Vice President, Assistant General Counsel – Huntersville, NC

Reporting to Senior Vice President and General Counsel and based in Huntersville, NC, this key position requires considerable independent judgment and discretion applying legal and business judgement and a hands-on, pragmatic approach to problem-solving. This position provides legal and business support and guidance to the General Counsel and internal clients for a large, global manufacturing company. This position is responsible for handling a broad range of commercial matters, including global transactional agreements, M&A activity, employment law, litigation support, real estate and corporate compliance. Assistance with corporate governance and financial reporting are also elements of this position.

Key Responsibilities

• Draft, review and negotiate international and domestic commercial agreements, including, purchase and supply contracts, vendor buying agreements, sales representation agreements, standard terms and conditions, distribution agreements, master sales and service agreements, leases, non-disclosure agreements and license agreements.
• Provide support regarding contract interpretation and guidance, including related to disputes.
• Work directly with customers, suppliers, internal colleagues and others to facilitate prompt execution of contracts.
• Analyze and communicate the impact of new laws and regulations on the business and assess compliance risks.
• Analyze and manage third-party disputes, including managing outside counsel as needed to support the resolution of such disputes.
• Assist in, prepare and present legal compliance and educational programs as serve as an escalation point and work with compliance, internal audit, and other
• functional areas as needed to help with investigations.
• Cost-effectively partner with and manage outside counsel as necessary.
• Develop improved processes for efficiently handling legal matters and identify opportunities for continuous improvement.
• Provide legal support to HR in areas relating to employment law and benefits, including advising on compliance with applicable employment laws, reviewing terminations, negotiating and drafting employment agreements and compensation and benefits policies.
• Work with outside counsel to provide training on employment law issues and provide legal support on employment complaints, litigation, and agency proceedings.
• Assess legal risk and provide legal advice to the company regarding corporate risk management.
• Assist in developing and overseeing the implementation of legal and corporate policies and procedures with members of the leadership team.
• Support the General Counsel and various departments and advising on all other legal issues as they may arise.
• Serve as Assistant Corporate Secretary, as needed.
• Act as Chief of Staff for the legal department to help General Counsel plan team meetings, create process and run the legal department.

Knowledge, Skills & Abilities

• J.D. degree from a top-rated accredited US law school
• 5-8 years of related legal experience (ideally with a strong commercial and/or manufacturing background, with some generalist experience, including some exposure to one or more of commercial transactions, M&A, litigation, corporate governance, employment, real estate, and/or compliance)
• In-house experience is a plus, but not required
• Commitment to the highest level of ethics, professionalism and confidentiality
• Excellent oral and written communication, presentation and negotiation skills
• Superior legal and analytical skills – exceptional judgment and creativity, with the ability to think strategically, weigh the legal and business objectives and give practical advice
• Ability to quickly understand business objectives of an agreement, identify related issues, and facilitate a risk/benefit analysis
• Demonstrated business-oriented approach to problem-solving, tempered by an appreciation for legal complexity and risk management
• Proven ability to handle complex matters that require discretion, judgment and prioritization.
• High initiative with flexible, proactive approach and demonstrated follow-up skills
• Demonstrated ability to manage project expectations, proactively report to senior leadership and manage escalations of legal and business issues
• Some travel required 10-15%
