Major, Lindsey & Africa Looking for Associate General Counsel at Fairfax, California Full Time

Major, Lindsey & Africa s Interim Legal Talent group has an immediate need for an Associate General Counsel,Compliance.

Overview: Our client is seeking an Associate General Counsel to oversee all aspects of the company compliance program.

Company: Cloud based software company.

Experience: 5+ years of compliance experience within a SaaS company.

Location: East Coast remote.

Responsibilities Include:

• Create, oversee and monitor the implementation of the Compliance Program ensuring that it contains the essential elements of an effective compliance program, including development, initiation and maintenance of policies and procedures for the general operation of the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct.
• Manage day-to-day operation of the Compliance Program. Focus on OFAC, sanctions, conflict of interest, anti-bribery, import/export.
• Develop and periodically review and update Codes of Conduct to ensure continuing currency and relevance in providing guidance to management and employees.
• Collaborate with other departments (Human Resources, Privacy/Data Protection, Product/Engineering, Marketing, etc.) to direct compliance issues to appropriate existing channels for investigation and resolution.
• Respond to alleged violations of laws, regulations, policies, procedures, and the Codes of Conduct by evaluating or recommending the initiation of investigative procedures. Develop and oversee a system for uniform handling of such violations and tracking alleged violations. Report to GC, executive team and/or Board of Directors as necessary.
• Act as an independent review and evaluation body to ensure that compliance issues/concerns within the Company are being appropriately evaluated, investigated and resolved. Coordinates, when appropriate, with internal and external legal counsel regarding such compliance issues/concerns.
• Monitor, and as necessary, coordinate compliance activities of other departments and compliance related committees/programs to remain abreast of the status of all compliance activities and to identify trends.
• Develop and implement internal, Company-wide training programs to ensure adherence by Company employees to the Compliance Program.
• Implement and operate retaliation-free reporting channels and provides direction and management of an anonymous compliance hotline for all employees, affiliates, and vendors.
• Responsible for driving and managing a third-party risk management program, including screening and diligence, vendor code of conduct, ongoing auditing and monitoring.
• Works with the Human Resources Department and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees as well as ongoing training for all employees, managers, and the Board.
• Implement and oversee open source compliance program.
• Perform a wide array of other general in-house legal responsibilities beyond just the Compliance Program in conjunction with the General Counsel. These topics could include insurance, employment, real estate, product, IP portfolio, international law, etc.

Qualifications Include:

• 5+ years supporting an international in-house IT legal team performing the tasks listed above.
• Strong preference for those who have experience working for a global software/SaaS company, especially in Europe. Bonus for those who have open source experience.
• Position is remote but strong preference to those located in US EST or in Europe. Since most of the internal teams are in Europe, some early calls/meetings are to be expected.
• Proactiveness and an ability to independently recognize where a problem exists and to find a solution.
• Periodic travel to various worldwide locations including within the US and Europe.
• English proficiency.
• JD degree or equivalent education or proven experience.
